Harmos Horton Lusk is pleased to have advised NZX/ASX-listed Restaurant Brands New Zealand on its response to a full takeover offer by the company’s 75% shareholder, Mexican-based Finaccess. The offer, which values Restaurant Brands at $630 million, has received acceptances for more than 90% of the company’s shares and will result in Finaccess acquiring full control.

Restaurant Brands is a corporate franchisee business that specialises in managing multi-site food retail stores, and operates over 500 quick service restaurants across New Zealand, Australia, California, Hawaii, Guam, and Saipan.

We advised Restaurant Brands on all legal aspects of the transaction, including advising on directors’ duties, the formation of a committee of independent directors to provide independent transaction governance, takeover response strategy, preparation of takeover response documents, and compliance with takeover and securities regulations.
