Harmos Horton Lusk advises Powering Australian Renewables on it and Mercury NZ’s $3.05 billion acquisition of Tilt Renewables

Harmos Horton Lusk was engaged as lead New Zealand counsel by Powering Australian Renewables (a consortium comprising Australia’s Future Fund, ASX listed AGL Energy Limited, and funds managed by Queensland Investment Corporation) on it and ASX/NZX listed Mercury NZ Limited’s consortium acquisition of ASX/NZX listed Tilt Renewables, by way of a scheme of arrangement, following a competitive sales process.  The scheme, which values Tilt Renewables at over $3 billion, was announced on 15 March 2021.  The scheme will be the largest takeover undertaken in New Zealand via a scheme of arrangement.

Implementation of the scheme will involve the separation of Tilt Renewables’ Australian and New Zealand businesses, with Powering Australian Renewables acquiring Tilt Renewables’ Australian business and Mercury acquiring Tilt Renewables’ New Zealand business.
