Harmos Horton Lusk advised the founding family members of NPD, a leading New Zealand fuel distributor and retailer, on the sale of their majority shareholding to the current CEO and shareholder.

The firm advised the selling shareholders on all aspects of the transaction, including transaction structuring and negotiation of definitive documents, as well as a complex series of financing arrangements to fund the purchase and ongoing business operations of the NPD Group.

NPD is an independent family-owned business that has been supplying fuel to the New Zealand market for over 50 years.  NPD currently has over 100 sites nationwide including traditional fuel sites, unstaffed fuel stops and staffed retail outlets incorporating NPD’s ‘Refresh Café’. The sale marks a significant milestone for NPD, transitioning ownership from the Milne family who founded the business in 1969 to the Sheridan family who have been involved in the business for over 30 years, and allowing the business to remain 100% New Zealand owned and operated.
